GENERAL TERMS AND CONDITIONS

These Terms and Conditions regulate the legal relationship between the Seller and the Buyer, whether purchasing through the online store (www.arp-racingparts.co.uk) or via a separate order placed directly with the Seller. These Terms set out the rights and obligations of both parties.

All contractual relations are governed by the laws of England and Wales, including but not limited to the Consumer Rights Act 2015, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, and other applicable UK legislation.

If the Buyer is a consumer, the relationship is governed by these Terms & Conditions and the relevant UK consumer protection legislation.

If the Buyer is a business customer, the relationship is governed by these Terms & Conditions and the laws of England and Wales relating to business-to-business contracts.

All products sold by the Seller are intended for closed-circuit / racetrack use only and are not homologated for road use. Use on public roads is at the customer’s own risk. The Buyer accepts that Innocent Engineering Ltd shall not be held liable for any personal injury, property damage, or losses resulting from a motorcycle crash or failure caused by incorrect installation or misuse of the Seller’s products. By placing an order, the Buyer agrees to these Terms & Conditions.


I. DEFINITIONS

Seller:
Innocent Engineering Ltd,
Registered in England & Wales.
Trading as “ARP Racing Parts UK”.

Consumer Contract:
A purchase agreement where the Buyer is purchasing wholly or mainly for personal use, outside their business activities.

Buyer – Consumer:
An individual purchasing goods for personal use and not for business, trade, or resale.

Buyer – Business Customer:
A customer purchasing goods for business use or resale. Business customers are not afforded all consumer protections.

Purchase Agreement:
The agreement formed when the Seller accepts the Buyer’s order. Once confirmed, both parties are bound by these Terms & Conditions.


II. PURCHASE AGREEMENT

II.A – Orders Through the Online Store

By submitting an order, the Buyer confirms they have read and agreed to these Terms & Conditions. Agreement is confirmed by ticking the mandatory checkbox during checkout.

If the Buyer has a discount or promotional code, it must be entered at checkout.

A Purchase Agreement is formed when the Seller confirms the order by email.

If items are out of stock, the Seller will notify the Buyer of revised prices or estimated delivery dates. The Purchase Agreement is then formed when the Buyer confirms acceptance.


II.B – Orders via Email

Where orders are placed by email or telephone, the Seller will issue an order proposal including product details, price, delivery method and charges, and estimated delivery dates. The Purchase Agreement is formed when the Buyer accepts this offer.


II.C – Joint Provisions

The Agreement will be conducted in English. Orders are archived electronically for administrative and legal purposes but are not accessible to third parties except where required to fulfil legal obligations.

The Buyer may review and correct their order before submission. These Terms are available at all times on the Seller’s website.


III. DELIVERY OF GOODS

Following order confirmation, the Seller will dispatch goods as soon as possible, typically within 2–10 working days unless otherwise stated. Delivery may take longer during busy periods or for back-ordered items.

Delivery is fulfilled when the goods are delivered to the shipping address provided by the Buyer. Installation of products is not included.

Shipping method is chosen by the Seller based on order size and weight. Shipping costs are displayed at checkout.

If ordering by email, the shipping cost will be included in the offer provided.


IV. PAYMENT TERMS

Goods remain the property of Innocent Engineering Ltd until paid for in full.

Payment methods include:

  • Card payment via secure payment gateway
  • Bank transfer
  • Cash on delivery (where available)

If payment is not completed (e.g., Buyer refuses delivery), the Buyer is responsible for all associated delivery costs.

If an item becomes unavailable after ordering, the Seller will refund the Buyer promptly.


V. RIGHT TO CANCEL (CONSUMER ONLY)

A consumer Buyer may cancel an order within 14 days of receiving the goods, in accordance with the Consumer Contracts Regulations 2013.

Custom-made or personalised items cannot be cancelled or returned.

Goods returned under the right to cancel must be:

  • unused,
  • undamaged,
  • in original packaging (where possible),
  • complete (including accessories & paperwork).

The Buyer must return the goods at their own cost. Returns sent “cash on delivery” will not be accepted.

If the above conditions are met, the Seller will refund the product price within 14 days of receiving the returned goods.

Shipping costs and transaction fees are non-refundable, except where goods are defective.


VI. SELLER’S RIGHT TO CANCEL

The Seller reserves the right to cancel an order at any time before dispatch. If payment has already been made, a full refund will be issued within 14 days.

The Seller may cancel an order where the Buyer materially breaches the agreement (e.g., fails to make payment).


VII. LIABILITY FOR DEFECTS

Before installing or using the goods, the Buyer must read all instructions and safety guidance supplied.

The Seller is not responsible for:

  • damage caused by motorcycle crashes,
  • incorrect installation,
  • misuse,
  • normal wear and tear.

Under the Consumer Rights Act 2015, goods must:

  • be of satisfactory quality,
  • be fit for purpose,
  • match their description.

Consumers may claim for faults present at delivery within 30 days for a refund, or up to 6 months for repair or replacement.

Business customers must inspect goods immediately upon delivery and report issues within 2 working days.


VIII. WARRANTY & DEFECT CLAIM PROCEDURE

The Buyer must report defects as soon as reasonably possible and must provide:

  • order number or proof of purchase,
  • a clear description of the defect,
  • photographs or video if requested.

The Buyer must return the product for inspection if requested. The Seller will resolve complaints within 30 days.

If a defect is confirmed, the Seller will:

  • repair the item,
  • replace it, or
  • issue a refund (Seller’s discretion).

If no defect is found, the item will be returned at the Buyer’s expense.


IX. FINAL PROVISIONS

Contracts are governed by the laws of England and Wales.

If any provision becomes invalid, the remaining Terms remain fully enforceable.

The Seller may update these Terms at any time. Updated versions will be posted on the website.

The Buyer agrees to these Terms by placing an order.

These Terms & Conditions take effect from the date of publication and remain valid until amended or replaced.
